Constitution of the Salsa & Merengue Society

1.     Name and Definitions

1.1     The name of the society shall be the University of Sheffield Union of Students Salsa and Merengue Society (hereafter referred to as 'The Society').

1.2     The definitions given in the University of Sheffield Union of Students Constitution shall also be valid throughout this Constitution.

1.3     The term Salsa shall be defined in this Constitution as: forms of dance bearing a basic structure and currently practised by the modern populations of Latin America and Spain (hereafter referred to as 'Salsa').

1.4     The term 'administrative' shall be taken to mean all acts pertaining to the management of The Society.

1.5     Without prejudice to the rest of the Constitutioin, the management of The Society shall not include the policy matters of The Society.

1.6     The term 'Policy' shall include the planning of class structure, content and use of material, equipment and music in the pursuance of the aims and objectives of The Society.

1.7     The term 'Class' shall be defined as the group or groups to which Salsa will be taught in The Society.

2     Aims and Objectives

2.1     The Society seeks to promote the awareness, appreciation and practice of Salsa within the University of Sheffield.

2.2     In pursuance of the above aims and objectives, The Society shall ensure that the safety and welfare of all persons affected by The Society's activities is treated with the utmost importance.

2.3     Without prejudice to any other part of this Constitution and in pursuance of the above aims and objectives, the Committee shall have the power to do any acts which the Committee may reasonably deem to be collateral and/or beneficial, whether directly or indirectly, to the aims and objectives of The Society.

3     Membership

3.1     Membership of The Society shall be open to all full members of the Union who are in broad agreement with The Society's aims and objectives, as defined in clause 2 of this Constitution.

3.2     Membership of The Society may be granted to individuals who are in broaad agreement with The Society's aims and objectives, as defined in clause 2 of this Constitution, but who are not full members of the Union, subject to a majority of Society members being full members of the Union.

3.3     Only Society members who are full members of the Union may vote at Society General Meetings.

3.4     Membership shall only be granted on payment of a membership fee, the level of which shall be set by a Society General Meeting.

4     Society Governance

4.1     Administrative affairs of The Society shall be conducted by a Society Administrative Committee (hereinafter referred to as the Committee), which shall consist of the following officers:

Chairman also known as Special Projects Co-ordinator
Secretary also known as Administrative Co-ordinator
Treasurer also known as Finance Co-ordinator

4.2     All Committee Officers shall be members of The Society and members of the Union.

4.3     No person may hold more than one position on either the Committee or the Tribunal for Society Policy Matters.

4.4     Committee Officers shall be elected at the Annual General Meeting of The Society, although vacant positions may be filled at any Society General Meeting.

4.5     The Society will provide the Union with a full list of officers of The Society, following their election.

4.6     Committee Officers shall not operate on autonomous lines but shall take into account the needs and wishes of The Society membership, as expressed both at Society General Meetings and elsewhere. The Committee shall also consult the Tribunal in any matters which can reasonably forseen to have implications and/or consequences, whether directly or indirectly, on the functions of the Tribunal.

4.7     Policy matters of The Society shall be formulated and implemented by a Tribunal for Society Policy Matters (hereinafter referred to as the Tribunal) which shall consist of at least three and no more than six members.

4.8     All Tribunal members shall be Teachers of the Society. A person is considered a Teacher of the Society if he or she fulfils the requirements of Article 10.1 of the Constitution.

4.9     Tribunal members shall be elected at a Teachers' Group Meeting. Vacant positions can be filled in at any Teachers' Group Meeting.

4.10     Tribunal members shall not operate on autonomous lines but shall take into account the needs and wishes of the Teachers' Group, as expressed both at Teachers' Group Meetings and elsewhere. The Tribunal shall also consult the Committee in any matters which can be reasonably forseen to have implications and/or consequences, whether directly or indirectly, on the functions of the Committee.

4.11     In the event that Articles 4.7 and 4.8 cannot be fulfilled then the functions of the Tribunal will be transferred to the Committee until the aforementioned articles are once again fulfilled in which case the functions shall revert to the Tribunal.

5      Society General Meetings

5.1     All General Meetings of The Society shall be open to all members of The Society.

5.2     Ordinary General Meetings shall be called by either the Special Projects Co-ordinator of The Society or 10% of the registered Society membership, whether in person or in writing.

5.3     The Annual General Meeting (AGM) of The Society shall be held not more than thirteen months nor less than eleven months after the previous AGM.

5.4     The business for the AGM shall include the election of Administrative Committee Officers and presentation of the annual financial accounts of The Society.

5.5     A minimum of five days notice of general meetings shall be given, except for The Society AGM, of which at least ten days notice shall be given.

6     Society Finances

6.1     The Society's funds shall only be used in furtherance of the aims and objectives of The Society, as defined in clause 2 of this Constitution.

6.2     The Finance Co-ordinator shall be responsible for the proper accounting of Society funds, in accordance with Union regulations and shall be assisted by the Administrative Co-ordinator.

6.3     Two signatories shall be required for Society financial transactions, of which one signatory shall be the Finance Co-ordinator and the other an Officer of the Committee.

6.4     In the event of The Society ceasing to exist, all Society funds shall revert to the Union.

6.5     In the event of the absence of the Finance Co-ordinator at any Society meeting, the remaining member or members shall adopt the Finance Co-ordinator's functions by default for the period of his or her absence. This adoption of the Finance Co-ordinator's functions however, does not include the adoption of the authority to be a signatory to financial transactions.

7     Relations with the Union

7.1     As a recognised Union society, The Society shall at all times abide by the Constitution and Bye-laws of the Union.

7.2     The Society shall also abide by all regulations issued by the Student Activities Committee.

8     Suspension, Withdrawal or Refusal of Membership

8.1     Membership of The Society may be refused, suspended for a specified period or withdrawn, with the approval of a two-thirds majority of the Committee and a two-thirds mjority of a Society General Meeting.

8.2     This shall be subject to appeal to the Student Activities Committee which may uphold, amend or annul the decision of The Society.

9     Amendments to the Constitution

9.1 Amendments to this Constitution shall be deemed to take effect once approved by a two-thirds mjority at a Society General Meeting and accepted by the Student Activities Committee.

10     The Selection, Organisation and Removal of Teachers

10.1     A person is considered a Teacher of The Society if he or she fulfils the following reuirements:-

    i)     He or she must be a member of The Society.
    ii)    He or she must have successfully completed the Teachers Course as prescribed by the Tribunal.
    iii)   He or she must agree to the terms of membership of the Teachers' Group as prescribed in Appendix B.

10.2     The selection of Teachers from the Trainee Group shall be administered by the Tribunal and based on a reasonable evaluation of each individuals' ability and potential, considering as many factors as the Tribunal deems reasonable to include in the selection criteria. The Tribunal should communicate the reason or reasons for being unable to include an individual in the Teachers' Group.

10.3     A resolution to remove a Teacher from the Teachers' Group may only be proposed by a member of the Teachers' Group.

10.4     A resolution to remove a Teacher from the Teachers' Group must be communicated to the Teacher concerned at a Teachers' Group meeting. Notice of this resolution must be given to the Teacher concerned and the Tribunal no less than 7 days before the meeting.

10.5     A Teacher who has been given notice of a resolution to remove him or her has the right to object to the Tribunal who then have the discretion to uphold or annul the proposed resolution before the meeting.

10.6     A resolution to remove a Teacher must receive 75% of the Teachers' Group membership vote to be passed.

11     The Selection, Organisation and Removal of Tribunal members

11.1     A person is eligible for a Tribunal position if he or she fulfils the following requirements:-

    i)     He or she is a member of the Teachers' Group.
    ii)    He or she must agree to the Terms of membership of the Tribunal for Society Policy Matters as prescribed in Appendix C.

11.2     Without prejudice to any other provisions in this Constitution, a Tribune shall be elected by the Teachers' Group at a Teachers' Group Meeting.

11.3     Upon appointment, the Tribunal shall elect a Tribune or Tribunes to function as Financial Co-ordinator for the Teachers Fund.

11.4     A resolution to remove a Tribune from the Tribunal may only be proposed by a member of the Teachers' Group.

11.5     If a resolution to remove a Tribune from the Tribunal is proposed by a Tribune, the resolution shall be deemed to be a resolution for the removal of the entire Tribunal.

11.6     A resolution to remove a Tribune from the Tribunal must be communicated to the Tribune or Tribunes concerned at a Teachers' Group Meeting. Notice of this resolution must be given to the Tribune or Tribunes concerned and the Teachers' Group no less than seven days before the meeting.

11.7     Without prejudice to any other provisions in the Constitution a Tribune who has been given notice of a resolution to remove him or her has the right to object to the Tribunal who then have the discretion to uphold or annul the proposed resolution before the meeting. This Article will not apply in the event Article 11.5 applies.

11.8     A resolution to remove a Tribune must receive 75% of the Teachers' Group membership vote to be passed.

12     The Organisation and Removal of Administrative Committee Members

12.1     Without prejudice to any other provisions of this Constitution, the Special Projects Co-ordinator shall have, for his or her responsibilities, the following functions:-

    i)     the authority to organise, plan and manage any special projects as they arise.
    ii)    the authority to organise, plan and manage any ordinary functions of The Society.
    iii)   the authority to represent the views of the Administrative Committee to The Society as a whole.
    iv)    the obligation to review the acts of the Tribunal for Society Policy Matters.

12.2     Without prejudice to any other provisions of this Constitution, the Administrative Co-ordinator shall have, for his or her responsibilities, the following functions:-

    i)     the authority to convey any representations made by the Committee to The Society as a whole.
    ii)    the obligation to organise, plan and manage the membership list and any matters pertaining to it.
    iii)   the obligation to disclose all activities of the Committee to The Society.
    iv)    the obligation to act as an Assistant Financial Co-ordinator.

12.3     Without prejudice to any other provisions of this Constitution, the Financial Co-ordinator shall have, for his or her responsibilities, the following functions:-

    i)     the authority to organise, plan and manage all financial matters within the scope of the Committee.
    ii)    the obligation to disclose all financial activities of the Committee to The Society.

12.4     In the event of the absence of any Administrative Committee member, the remaining Committee member or members shall adopt the functions in concern by default for the period of his or her absence.

13     The Selection, Organisation and Removal of Trainees

13.1     A person is eligible for the Teachers Course if he or she fulfils the following requirements:-

    i)     He or she is a member of The Society.
    ii)    He or she agrees to abide by any rules and/or regulations applicable to the Teachers Course as prescribed by the Tribunal.

13.2     The Tribunal has the discretion to allow or decline to accept any application to join the Teachers Course. The Tribunal should communicate the reason or reasons for being unable to include an individual in the Teachers Course.

13.3     Upon acceptance into the Teachers Course the individual shall be known as a Trainee, with all the rights and obligations entitled to a Trainee.

Appendix B

Terms of Membership for the Teachers' Group

We the members of the Teachers' Group, as defined by Articles 10.1 - 10.6 of the Constitution, do hereby affirm the following:

i)     That we will abide by the provisions of the Constitution of The Society.

ii)    That any form of renumeration that may be forwarded to us by the membership, as consideration for services rendered in our capacity as a Teacher of The Society will be donated to the Teachers Trust Fund for The Society without reservation.

iii)   That we will support and promote the aims, objectives and activities of The Society to the best of our abilities.

iv)    That we will exercise the principle of collective responsibility with respect to any of our functions and activites as Teachers of The Society.

v)     That we will support the policy decisions of the Tribunal for Society Policy Matters in principle at all times.

vi)    In the event The Society ceases to exist, all funds within the Teachers Trust Fund for the Society will be donated to a suitable charity.

 

Appendix C

Terms of Membership for the Tribunal for Society Policy Matters

We the members of the Tribunal, as defined by Articles 11.1 - 11.8 of the Constitution, do hereby affirm the following:

i)     That we will abide by the provisions of the Constitution of The Society.

ii)    That we will support and promote the aims, objectives and activities of The Society to the best of our abilities.

iii)   That we will exercise the utmost good faith and care in the selection of Teachers from the Trainee Group, considering at all times the aims and objectives of The Society.

iv)    That we will exercise the utmost good faith and care in the planning, organisation and management of policy matters of The Society.

v)     That we will exercise the principle of collective responsibility with respect to any of our functions and activities as Tribunes of The Society.

vi)    That we will support the policy decisions of the Tribunal for Society Policy Matters in principle at all times.

vii)   That we will exercise the utmost good faith and care in the management of the funds within the Teachers Trust Fund for The Society.
